NPA Connects Plus
Basis of Contract
1. Parties
This Agreement is made between:
1.1 Supplier: Precision Marketing Group Ltd, a company incorporated in England and Wales (Company No. 5322235) whose registered office is at 89 High Street, Hadleigh, Ipswich, IP7 5EA (“PMG”).
1.2 Client: The pharmacy organisation entering into this Agreement with PMG, as identified in the applicable Order Form or Statement of Work (“The Pharmacy”).
2. Background
PMG provides outsourced marketing and advertising services to regulated community pharmacies. PMG has developed NPA Connects Plus, a centralised and outsourced digital advertising service designed to promote community pharmacy services within local catchment areas. The Pharmacy wishes to appoint PMG to manage local digital advertising activity for its pharmacy branches under a subscription and managed advertising model.
3. Scope of Services
PMG shall provide NPA Connects Plus as a managed service including campaign setup, templated creative deployment, local audience targeting, optimisation, and reporting. The service is standardised and does not include bespoke creative or clinical advice unless separately agreed in writing.
4. Branches Covered
At commencement, this Agreement shall apply to one (1) pharmacy branch operated by The Pharmacy. Additional branches may be added by written agreement.
5. Fees
5.1 Subscription Fee: £49.95 per branch per month.
5.2 Advertising Spend: Minimum £100 per branch per month.
All fees are exclusive of VAT.
6. Payment Terms
Subscription fees and advertising spend shall be invoiced monthly in advance and payable within 30 days of invoice date.
7. Compliance
The Pharmacy remains responsible for ensuring all advertised services are lawful, regulated and professionally compliant. PMG does not provide clinical or regulatory advice.
8. Term and Termination
This Agreement shall operate on a rolling monthly basis. Either party may terminate with 30 days' written notice.
9. Data Protection
Each party shall comply with UK data protection legislation. No patient-identifiable data shall be transferred unless separately agreed.
10. Limitation of Liability
PMG's total liability shall be limited to the subscription fees paid in the preceding 12 months, except where liability cannot be limited by law.
11. Governing Law
This Agreement shall be governed by the laws of England and Wales.
